Gold Summit Meeting

The Gold Summit Meeting will be held on Tuesday, August 24th, 2010 at 11:00 a.m. (Toronto time), or as soon thereafter as may be conveniently arranged following the Crown Meeting, in the Boardroom, Suite 1801, 180 Dundas Street West, Toronto, Ontario, M5G 1Z8.

PURPOSES OF THE MEETINGS

The Gold Summit Meeting

The purposes of the Gold Summit Meeting are as follows:

1. to approve the Arrangement on the terms and conditions provided for in the Arrangement Agreement;
    
2. to receive the Gold Summit financial statements for the years ended April 30, 2010 and 2009;
    
3. to appoint auditors and authorize the directors to fix their remuneration and terms of engagement;
    
4. to elect directors; and
    
5. to approve an increase in the maximum number of common shares issuable pursuant to the Gold Summit Stock Option Plan.
